Terms of Service and Member & User Guidelines

1. Introduction Welcome to BIGAPP INC (“Company,” “we,” “our,” “us”). This document serves as the combined Terms of Service (“Terms”) and Member & User Guidelines Contract, governing your use of our website, products, and services (collectively, the “Services”). It also outlines the terms, responsibilities, and mutual commitments between BIGAPP INC and its Members/Users to ensure transparency, accountability, and adherence to the highest professional and ethical standards. By accessing or using our Services or by signing this agreement, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

This document and its contents are strictly confidential. Standard Non-Disclosure (NDA), Non-Compete, and Non-Circumvent clauses apply once this document is open. Unauthorized distribution, reproduction, or sharing of this document is prohibited without prior written consent from BIGAPP INC.

2. Confidentiality

  • All commission agreements between you (“Member”) and the Company must remain confidential. Unauthorized disclosure will result in termination of services and potential legal action.
  • Confidential information shared during project management or estimation phases must not be disclosed to third parties.

3. Commission and Payments

  • Reporting Earnings: Members must report earnings generated through contacts facilitated by the Company.
  • Commission Rate: BIGAPP INC receives a [10%] commission on overall revenue generated from direct jobs or as outlined in specific agreements.
  • Payment Schedule: Commission payments align with client payment schedules, including deposits. Change orders are subject to the same commission rate.
  • Royalty Agreement: Commission royalties apply perpetually on jobs that garner commissions, and payments are required for every client payment received.

4. Responsibilities of Members

  • Professional Conduct: Members must maintain professionalism, avoid defamatory remarks, and report issues directly to BIGAPP INC.
  • Insurance and Compliance: Members must maintain active insurance or follow recommendations provided by BIGAPP INC.
  • Tax and Documentation: Required tax compliance forms (e.g., W9) must be uploaded, and member profiles must be kept updated to receive payments.
  • Bids and Invoices: Individual bids, invoices, and change orders must be submitted per project using the BIGAPP INC platform or designated channels.

5. Use of Services

  • Acceptable Use: Services must be used for lawful and authorized purposes.
  • Prohibited Activities: Circumventing BIGAPP INC on current or future projects or engaging in unauthorized discussions about financials with clients is prohibited.

6. Intellectual Property

  • Media Attribution: Media or promotional materials from projects must credit BIGAPP INC as the source (e.g., tagging in social media or providing acknowledgment in productions).

7. Privacy

  • Information Collection: We collect personal information to personalize experiences, improve services, process transactions, and send communications.
  • Consent and Withdrawal: By providing personal information, you consent to its collection and use. Consent can be withdrawn at any time by contacting BIGAPP INC.

8. No Refund Policy

  • Finality of Payments: All payments, including membership subscriptions, are final and non-refundable.
  • Membership Subscriptions: Subscriptions provide proprietary access to our platform via login and cannot be refunded.
  • Cancellations: Cancellation requests must be sent to accounting@bigapp.work at least 7 days before the next billing cycle.
  • Chargebacks: Disputes must be resolved directly with us before initiating a chargeback. Unauthorized disputes may result in service suspension and additional fees.
  • Dispute Resolution: All disputes are subject to Georgia law.

9. Billing & Payment Guidelines

  • Invoicing: Invoices for projects managed by BIGAPP INC must follow specified schedules (e.g., submit by Wednesday to receive payment the following Friday).
  • Lien Waivers: These must be signed as required for payment processing.

10. Conduct Guidelines

  • Prohibited Behaviors: Members must not bring children to worksites, consume alcohol, or smoke in work areas.
  • Professionalism: Members must follow codes of conduct, comply with regulations, and adhere to project-specific security measures.

11. Enforcement & Penalties

  • Penalties for Non-Compliance: Members who fail to comply with reporting, commission payments, or other obligations face penalties, including fines, suspension, or contract termination.

12. Modifications to Terms BIGAPP INC reserves the right to modify these Terms at any time. Changes will be communicated through official channels such as email or platform notifications.

13. Disclaimer of Warranties; Limitation of Liability

  • Warranties: BIGAPP INC does not guarantee uninterrupted, error-free service.
  • Liability: BIGAPP INC is not liable for indirect, incidental, or consequential damages arising from your use of our Services.

14. Entire Agreement The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms).

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

15. Governing Law These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with applicable laws of the United States.
